Invictronix Announces it Intends to Invest upto US$300 Million in the First Fully Integrated US Semiconductor Manufacturing Facility Located in Opportunity Zone
WYOMING, WY, UNITED STATES, September 15, 2026 /EINPresswire.com/ — A Wyoming-Based Qualified Opportunity Fund Combines Opportunity Zone Tax Benefits with a Manufacturing Partner Positioned for CHIPS Act Support
Invictronix (the “Fund”), a Wyoming-based Qualified Opportunity Fund (“QOF”), today announced it intends to invest up to US$300 million capital to finance the development of a global semiconductor manufacturer’s first fully integrated U.S. production facility. The investment provides accredited investors access to significant Qualified Opportunity Zone (“QOZ”) tax benefits while supporting the expansion of America’s domestic semiconductor supply chain.
A Proven Manufacturing Partner
The Fund’s underlying investment is anchored by a global electronics manufacturer with more than three decades of experience in semiconductor and consumer electronics production. The company is relocating its integrated manufacturing operations to a 30-plus acre campus within a federally designated Opportunity Zone in Florida. Once operational, the facility is expected to produce semiconductors, AI chips, smartphones, tablets, laptops, and related consumer electronics domestically, reducing reliance on overseas suppliers for critical technology components.
Key characteristics of the manufacturing partner include:
• More than 30 years of continuous operating history in semiconductor and consumer electronics manufacturing
• Executed commercial agreements with globally recognized technology and electronics brands, including long-standing relationships across the semiconductor, memory, and consumer device sectors
• Established co-branding arrangements with internationally recognized brands in semiconductors and consumer electronics
• A diversified, blue-chip customer base, with commercial relationships spanning major global technology companies
“This is a rare combination in the Opportunity Zone space — a manufacturer with an established operating history, executed commercial agreements, and long-standing customer relationships, entering U.S. production at a moment when the country urgently needs greater domestic semiconductor capacity,” said Mark Castellano, Chief Operating Officer of Invictronix. “We are not funding a concept. We are capitalizing the U.S. buildout of a manufacturer with a proven commercial track record — the first fully integrated facility of its kind for this manufacturer, and among the first of its kind in the country.”
Aligned With National Priorities
The project is positioned to benefit from the CHIPS and Science Act of 2022, which allocates $280 billion toward strengthening U.S. semiconductor research, development, and manufacturing capacity. As global semiconductor supply chains remain concentrated overseas, the Fund’s investment thesis centers on establishing integrated, large-scale chip and electronics manufacturing capacity on U.S. soil.
Offering Structure and Tax Benefits
The Fund is conducting its private placement to accredited investors under Rule 506(c) of Regulation D. Investors who deploy eligible capital gains into the Fund within 180 days of a gain-recognition event may qualify for tax benefits available under the Qualified Opportunity Zone program, including:
• Deferral of capital gains tax on the original invested gain
• Potential permanent exclusion of tax on appreciation within the Fund for investments held ten years or longer
• Additional benefits introduced under the One Big Beautiful Bill Act (P.L. 119-21), commonly known as “OZ 2.0,” which made the Opportunity Zone program permanent and introduced a rolling basis step-up and extended deferral structure for later investments
The Fund is listed on OZXchange.com, the platform through which qualified opportunity funds provide investor onboarding. It also provides administration and compliance support. Accredited investors may view the offering and request access to the Fund’s confidential Private Placement Memorandum at OZXchange.com.
